Parent Company Subsidiary Setup in the UAE

A company owning a company

Parent company subsidiary setup is the structure you choose when you want the UAE business to stand on its own feet legally. The subsidiary is its own legal person with its own licence, its own obligations and its own name if you want one. What it owes stays with it, which is the reason most groups pick this over a branch.

Subsidiary, Branch or Joint Venture

All three put a group into a new market. Only one of them puts a wall between that market and the parent.

What Parent Company Subsidiary Setup Involves

A company owning a company brings paperwork an individual shareholder never sees. The corporate documents behind the parent are most of the work.

Structure Mapping

Which entity in the group should hold the shares, and whether an intermediate holding company belongs between the parent and the operating business.

Parent Documents

Certificate of incorporation, constitutional documents and a board resolution authorising the investment, attested and legalised for use here.

Corporate Shareholding

The parent recorded as shareholder on the UAE company, with the signatory chain documented so the authority can see who had authority to commit the group.

Beneficial Ownership

The individuals ultimately behind the structure identified and disclosed, which applies however many companies sit in between.

Licence and Premises

Activity, trade name, premises and the licence itself, whether on the mainland or in a free zone.

Tax and Intercompany

Tax registration for the subsidiary and a note of the intercompany questions that follow, which are for your tax adviser rather than for us.

How the Subsidiary Gets Formed

The attestation chain runs through consulates abroad, so it starts before anything else and paces everything after it.

1

Map the Group

Which entity holds the shares, what the UAE company will do, and whether separation from the parent is genuinely the objective.

2

Board Resolution and Attestation

The parent formally resolves to form the subsidiary, and its corporate documents are legalised and attested for use here.

3

Jurisdiction and Activity

Mainland or free zone decided on who the subsidiary will invoice, and activity codes chosen for what it will actually do.

4

Incorporation

Name reserved, constitutional documents prepared with the parent as shareholder, and notarisation completed where the route requires it.

5

Licence and Operations

Premises registered, licence issued, establishment card opened and visas processed.

6

Banking and Tax

Corporate account opened, which takes longer for a corporate-owned company because the bank traces ownership to the individuals at the top.

What the Parent Will Need to Provide

Certificate of incorporation, attested
Memorandum and articles of the parent, attested
Board resolution approving the subsidiary and its shareholding
Register of directors and shareholders
Certificate of good standing or incumbency
Passports and proof of address for the ultimate beneficial owners

Expect banks to ask for more than the authority does. A corporate shareholder means the bank traces ownership up through every layer to the individuals at the top, and structures with several intermediate companies take longer to onboard. The UAE government's business services overview and the Federal Tax Authority cover the framework.

Group Structure Questions

Is the parent liable for the subsidiary's debts?
Generally not, and that separation is the main reason to choose this structure over a branch. It is not absolute. Guarantees the parent signs, and undertakings given to banks or landlords, reach back by agreement rather than by law. The wall holds unless you have deliberately opened a door in it.
Can the subsidiary do something the parent does not?
Yes, and this is a practical advantage over a branch. The subsidiary holds its own licence with its own activities, so a group can enter a new line of business here without touching what the parent does. A branch cannot, because it is confined to the parent's own activities.
Does the parent have to own all of it?
No. Wholly owned is common and simplest, but a subsidiary can have minority shareholders, including a local partner or management. If anyone other than the parent will hold shares, settle it before incorporation, because adding shareholders later is a formal amendment.
Why does the bank account take so long?
Because the bank has to understand who ultimately owns the structure, and a corporate shareholder means tracing upward through every layer. Structures with several intermediate holding companies in different countries take longer still. Prepare the ownership chart before you apply rather than assembling it during the process.
Should there be a holding company in between?
Sometimes, particularly where a group intends several UAE entities or wants to separate assets from the trading business. It adds a layer of paperwork and cost, so it should answer a real question rather than being added for its own sake. Our holding company page covers when it earns its place.
Subsidiary or branch?
Ask whether you want UAE obligations to reach the parent. If not, form a subsidiary. If you want one entity trading under one name, accept the exposure and take a branch, which is simpler to run. If you need presence without trading, a representative office is the lighter option.
