RAK ICC and JAFZA offshore
Offshore company formation UAE wide covers one narrow job: a corporate vehicle for holding assets, owning shares or contracting internationally, with no UAE premises and no residence visas attached. It is not a free zone company and it is not a trading licence. We will tell you before you pay whether it is the right tool for what you are actually trying to do.
Tell us what the company will own or do. If offshore is wrong for it, we will say so.
3S Business Services is a registered business setup consultancy based in Dubai. We coordinate your setup process end to end.
Most people who ask about offshore actually want one of the other two. This is the difference in the four places it matters, so you can rule yourself in or out before you spend anything.
| What Matters | Offshore | Free Zone | Mainland |
|---|---|---|---|
| Trade with customers inside the UAE | No | Inside the zone and internationally | Yes, across the UAE |
| Residence visas for shareholders | None | Tied to the facility you take | Tied to premises and labour file |
| Premises required in the UAE | Not required | Required, from a flexi-desk upward | Required, registered tenancy |
| What it is normally used for | Holding shares, assets and IP | Operating and trading from a zone | Selling into the UAE market |
A registered company, its constitutional documents and its statutory registers. Not a licence to trade here, and not a route to residence. Knowing that up front saves a great deal of money.
RAK ICC and JAFZA offshore are separate registries with their own rules. We match the registry to what the company will actually hold or do.
Company name checked against the registry's naming rules and reserved before any documents are drafted.
Memorandum and articles prepared to the registry's own template, with shareholder and director details in the form it expects to receive.
Offshore files are submitted through a licensed registered agent rather than by the shareholder directly. We handle that channel for you.
Certificate of incorporation, share certificates and the statutory registers your bank and your counterparties will ask to see.
Offshore accounts attract more scrutiny, not less. We prepare the substance and source-of-funds picture before the application goes anywhere near a bank.
You will know what stage you are at and what we need from you next.
Holding shares, owning property, ring-fencing intellectual property or contracting outside the UAE. The purpose decides the registry, and sometimes it decides that offshore is the wrong answer entirely.
We confirm the registry, the shareholding structure and the director arrangement, and flag anything your home jurisdiction or your bank will want to see later.
Name reserved, incorporation documents drafted to the registry template, and your identification and address evidence collected and attested where required.
The file is submitted through the licensed registered agent and followed up with the registry until the certificate of incorporation is issued.
Certificates and registers delivered to you, then the corporate bank account prepared and introduced with the supporting picture already built.
Requirements differ between registries and change with who the shareholders are, and corporate shareholders are generally asked for more than individuals. We confirm your exact list before anything is drafted. The UAE government's business services overview is a useful cross-check on the wider picture.
Tell us what the company needs to own, hold or sign, and where the people behind it are resident. We will come back with whether offshore is the right vehicle, which registry fits, what it will be charged and what we will charge, in writing, before you commit to anything.
