Presence Without Trading

Representative Office Setup in the UAE

Promote, research, liaise

Representative office setup buys you presence without permission to trade. It can market the parent, meet customers, research the market and support existing relationships. It cannot sign a contract or raise an invoice. Every deal it generates is billed by the parent abroad, and understanding that before you register is the difference between a useful office and a stranded one.

What Representative Office Setup Permits, and What It Does Not

The line is commercial rather than technical. If money changes hands against a UAE contract, you are past what this instrument allows.

Allowed: Promotion

Marketing the parent's products and services, attending exhibitions, running campaigns and building the brand in the market.

Allowed: Market Research

Understanding demand, pricing and competitors before the parent commits capital to a trading entity here.

Allowed: Liaison

Supporting existing customers, coordinating with distributors and being the local face of a company that contracts from abroad.

Not Allowed: Invoicing

The office cannot raise invoices or take payment. Revenue is contracted and billed by the parent, and the office is a cost centre funded from head office.

Not Allowed: Contracting

It cannot sign commercial contracts in its own right. Deals are concluded by the parent, which is a real constraint on how fast you can close.

Not Allowed: Holding Stock

It is not a trading operation, so importing and selling goods from a representative office is outside what the registration permits.

Representative Office, Branch or Subsidiary

If the answer to the second row is yes, this is not your instrument and the rest of the table is where you should be reading.

How It Gets Registered

The attestation chain is the same as for a branch, so start it immediately even though the office itself is lighter.

1

Confirm the Model Works

Who signs contracts and who issues invoices. If the honest answer is that the UAE team needs to do both, we will point you at a branch or a subsidiary instead.

2

Parent Documents Attested

Incorporation documents, memorandum and a board resolution approving the office, legalised and attested for use here.

3

Approvals and Registration

The approvals a foreign representative office requires, then registration with the economic department of the emirate.

4

Premises and Licence

Office arranged, tenancy registered and the licence issued in the parent's name with the representative office designation.

5

Team on the Ground

Establishment card opened and visas processed for the manager and staff the office will employ.

What the Parent Will Need to Provide

Certificate of incorporation, attested
Memorandum and articles of the parent, attested
Board resolution approving the representative office
Power of attorney for the appointed manager
Certificate of good standing for the parent
Passport copies for the manager and the parent's directors

The document list is close to a branch's, which surprises people expecting a lighter exercise. What is lighter is the ongoing obligation, not the setup. The UAE government's business services overview covers the framework and the Federal Tax Authority the registration position. The Ministry of Economy has historically been involved in approving these offices for foreign companies.

Representative Office Questions

Can a representative office sell anything?
No. It can generate interest, qualify leads and support customers, but the sale is contracted and invoiced by the parent abroad. If your UAE team is expected to close and bill, this is the wrong instrument and using it anyway means invoicing without the licence to do so.
Then what is it actually for?
Testing a market before committing to it, and supporting customers you already have. Companies use it to build a pipeline and understand demand while the trading entity stays abroad, then convert to a branch or subsidiary once the case is proven. Used that way it is genuinely useful rather than a compromise.
Can it employ people?
Yes. It opens an immigration file and sponsors staff like any other licensed presence, which is often the main practical reason to register one rather than flying people in on visit visas. Numbers are assessed against the premises and the office's stated purpose.
How is it funded if it cannot earn?
By the parent. It is a cost centre, and head office remits funds to cover salaries, rent and running costs. Budget it that way from the start, because there is no local revenue line to grow into and no scenario where the office funds itself.
Can it convert to a branch later?
Moving to a trading presence is a common and sensible path once the market is proven. Treat it as a fresh registration rather than an upgrade, and factor in that much of the attestation work will need refreshing. Tell us if conversion is the likely plan and we will structure with that in mind.
Is the parent liable for it?
Yes. Like a branch, a representative office is not a separate legal person, so its obligations are the parent's. The exposure is smaller simply because the office does less, not because there is any separation. If separation is what you want, that is a subsidiary.

Tell Us Who Needs to Send the Invoice

That one question decides whether a representative office is right for you. Tell us what the UAE team will do day to day and where the contracts will be signed, and we will come back with the instrument that fits and what it will cost, in writing, before you commit.
