Partnership Forms

Partnership Registration in the UAE

Named partners, personal liability

Partnership registration creates a named legal form, not a handshake with a contract attached. The partners are named on the licence, the partnership contract is notarised, and in a general partnership each partner can be pursued personally for the whole of the firm's obligations. That last point is what separates it from a company.

Partnership, Joint Venture or Company

People use these three words interchangeably and they are not interchangeable. Only one of them is a registered legal form with your name on a licence.

What Partnership Registration Involves

The contract does the work here. In a company the law supplies defaults; in a partnership what you wrote down is very close to the whole of the arrangement.

Form Selection

General partnership or one with limited partners, chosen on whether any investor needs to stay out of management and out of unlimited liability.

Partner Structure

Who contributes what, whether in cash, assets or work, and how profits and losses are shared. Unequal contributions need saying out loud before filing.

Partnership Contract

Drafted and notarised, covering management, decision making, what happens on death or departure, and how a partner can be bought out.

Trade Name and Approval

Name reserved and initial approval obtained. Partnership names commonly carry partner names, which has consequences if someone leaves.

Licence and Premises

Registered premises and the trade licence naming the partners, issued by the economic department of your emirate.

Visas and Banking

Establishment card, visas and a corporate account with the signing arrangements the partners have agreed.

How It Gets Registered

Settle the disagreements on paper first. A partnership contract is much easier to write while everyone still likes each other.

1

Agree the Terms

Contributions, profit shares, who manages, who can bind the firm and what happens if a partner wants out or dies.

2

Choose the Form

General or limited, based on whether any partner needs liability protection and is prepared to stay out of running the business.

3

Name and Approval

Trade name reserved and initial approval obtained with the partnership activities named correctly.

4

Contract Notarised

The partnership contract executed before a notary with the partners present or represented under power of attorney.

5

Licence and Setup

Premises registered, licence issued naming the partners, then establishment card, visas and banking arranged.

What You Will Need to Provide

Passport copies for every partner
Emirates ID and visa page for partners already resident
The agreed profit and contribution split, in writing
Qualification evidence where the activity is a professional one
Two or three proposed trade names
Tenancy contract for the registered premises

Write the exit terms before you write anything else. Most partnership disputes are not about profit while things go well, they are about what happens when one partner wants to leave and the contract is silent. The UAE government's business services overview sets out the wider framework, and partnerships are registered by the economic department of the emirate you set up in.

Partnership Questions

Am I personally liable in a partnership?
In a general partnership, yes, and it goes further than people expect. A general partner can typically be pursued for the whole of the firm's obligations, not merely their share, which means a partner's decision can reach your personal assets. If that is not acceptable, you want a company rather than a partnership.
What is the difference between a partnership and a joint venture?
A partnership is a registered legal form with partners named on a licence. A joint venture is usually a contractual arrangement between parties who each keep their own entity, often for a single project. If you want a lasting firm, register a partnership. If you want to collaborate on one job, a contract between existing companies is usually the cleaner instrument.
Can an investor join without being liable?
That is what a limited partner is for. They contribute capital and their exposure is confined to it, on the condition that they stay out of managing the firm. A limited partner who starts making management decisions risks losing that protection, so the boundary has to be respected in practice and not only on paper.
What happens if a partner wants to leave?
It depends almost entirely on the contract. Partnerships can be fragile on departure in a way companies are not, because there are no shares to simply transfer. Agree the buyout mechanism, the valuation basis and the notice required at the start, and the exit becomes an administrative event rather than a dispute.
Is a partnership right for a professional practice?
It is a traditional form for professionals working together, and in some regulated fields it is the expected structure. Whether it suits you depends on the liability appetite of the people involved and on what your regulator requires. Our professional licence page covers the licensing side.
Should I just form an LLC instead?
Many people should, and we will say so if that is the honest answer. A company gives you limited liability, transferable shares and continuity, which is why it is the default for most operating businesses. Our LLC setup page covers that route.

Write the Exit Before the Entrance

Tell us who the partners are, what each is contributing and how you want decisions made. We will come back with the form that fits, a contract that covers the departure nobody wants to discuss, and what the authority and we will each charge, in writing.
