E-commerce Business Setup in the UAE

Licence, gateway, customs, tax

E-commerce business setup is not one job, it is four. The licence is the easy part. What catches people out is the payment gateway that wants a trade licence you do not have yet, the customs registration nobody mentioned, and the tax position of selling to customers in another country. We handle all four as one piece of work.

What E-commerce Business Setup Involves Beyond the Licence

Anyone can file a licence application. The parts below are where online sellers actually get stuck, and they are the reason a store sits finished but unable to take a payment.

The Right Activity Codes

Selling online is not a single activity. What you sell, whether you hold stock and whether you sell to businesses or consumers each change the codes your licence needs to name.

Mainland or Free Zone

The decision that shapes everything after it. It is driven by who your customers are, not by which option looks cheaper on a comparison site.

Payment Gateway Readiness

Gateways want a trade licence, a matching bank account and a website that states the right terms before they onboard you. We sequence the three so you are not waiting on yourself.

Customs Registration

If goods cross a border to reach your customer, you need a customs code tied to your licence. This is the step people discover at their first shipment, not before.

Corporate Bank Account

Online-only businesses get more questions from banks, not fewer. We prepare the account application with the substance already built rather than reacting to a refusal.

Tax Registration

Where you sell changes your position. VAT and corporate tax registration handled when your business meets the criteria set by the Federal Tax Authority.

Mainland or Free Zone for an Online Store

This is the only structural decision that really matters for an online seller, and it comes down to where your customers are.

The Order We Do It In

Sequence matters here more than on most setups, because each stage unlocks the next one.

1

Your Model First

Own store or marketplace, stock held or drop shipped, UAE customers or overseas. Everything downstream is decided by these three answers.

2

Structure and Activities

Mainland or free zone confirmed, and the activity codes chosen so your licence names what you actually sell rather than something adjacent to it.

3

Licence Issued

Application filed and followed through, with the establishment card opened so visas can follow when you need them.

4

Bank and Gateway

Corporate account prepared and introduced, then the payment gateway application made once the licence and account exist to support it.

5

Customs and Tax

Customs code registered against your licence where you move goods, and your tax registrations handled when the criteria are met.

Selling Online, Answered

Do I need a licence to sell on a marketplace?
Yes. Selling through a marketplace rather than your own site does not remove the need for a licence, and the larger platforms ask for one before they will let you list as a UAE seller. Some sellers discover this only when their account is put on hold pending documents.
Can I run a dropshipping business from the UAE?
Generally yes, and the activity codes for it exist. The questions worth settling first are where the supplier ships from, whether the goods ever enter the UAE, and how the payment flow is structured, because those decide whether you need customs registration and how your tax position looks.
Why will a payment gateway not approve me?
Usually because something does not match. The name on the licence, the name on the bank account and the name on the website need to agree, the activity has to cover what you are actually selling, and the site needs its terms, refund and delivery policies published. We line these up before applying rather than after a decline.
Do I need a warehouse?
Only if you hold stock yourself. Plenty of sellers use a fulfilment provider or ship direct from a supplier and never take physical possession. If you do hold stock, where you store it interacts with your licence type, so tell us the plan before you sign a lease.
Can a free zone company sell to customers in the UAE?
Not directly in the way a mainland licence allows. A free zone licence is built for activity inside the zone and internationally, and reaching mainland consumers generally involves a distributor or an appropriate channel arrangement. If your buyers are here, say so early, because it changes the structure rather than just the paperwork.
What does it cost?
Government charges are set by the licensing authority and change with the activity, the emirate, the premises and whether you need customs registration. Gateway and banking charges are set by the providers. We quote the authority charges and our own fee separately so you can see which part is ours.

Get the Whole Thing Working, Not Just Licensed

Tell us what you sell, who buys it and whether you hold stock. We will come back with the structure that fits, the activity codes your licence needs to name, and what the authority and we will each charge, in writing, before you commit to anything.
