License Classes Explained

Commercial License vs Trade License

The short answer, then the detail

Commercial license vs trade license is the wrong question, and asking it is costing people money. They are not two options to pick between. Trade license is the umbrella term for the license your emirate's economic department issues, and commercial is one class inside that umbrella, sitting alongside professional and industrial. The real decision is which class you need.

Commercial License vs Trade License, Side by Side

Since a trade license is the umbrella and not an alternative, the comparison that actually helps you is between the classes inside it. This is that comparison.

Why Commercial License vs Trade License Is a Trick Question

Four things worth understanding before you fill in an application, because each one is a mistake we see people pay to correct later. The Ministry of Economy and Tourism and the UAE government's business services overview are the authorities to check this against.

Trade License Is the Umbrella

It is the general name for the license an emirate's economic department issues to let a business operate. Every licensed mainland business holds one.

Commercial Is a Class Within It

Commercial is the class for buying and reselling goods. Asking for a trade license instead of a commercial one is asking for the category instead of the item.

The Class Follows the Activity

You do not choose the class directly. You choose your activities from the authority's list, and the activities you pick determine the class you are issued.

Free Zones Use Their Own Names

Zones issue their own licenses with their own labels, often calling the services class a service license rather than professional. The logic is the same.

How to Work Out Which Class You Need

Four questions, in this order. They resolve most cases without any of the jargon.

1

Do You Take Ownership of Goods?

If you buy stock and resell it, you are in commercial territory. If you never own the goods and only advise, arrange or introduce, you are not.

2

Do You Make What You Sell?

Manufacturing, assembly and processing point to an industrial license, which carries premises and approval requirements the other two do not.

3

Is Your Field Regulated?

Legal, medical, engineering and accounting services generally expect attested qualifications and a regulator sign-off. That points at professional, with conditions.

4

Do You Do More Than One?

Plenty of businesses sell goods and services together. Say so at the start. Some activity combinations sit on one license and some genuinely need two.

5

Then Pick the Jurisdiction

Class first, jurisdiction second. Mainland or free zone changes the cost and who you can invoice, but it does not change which class your activity falls into.

License Class Questions

Is a commercial license the same as a trade license?
Not quite, and the difference matters. Trade license is the umbrella term for the license an emirate's economic department issues. Commercial is one class of trade license, the one for buying and reselling goods. So a commercial license is a trade license, but a trade license is not necessarily commercial.
Which class do I need to import and resell products?
A commercial license. Importing, exporting, wholesale, distribution and retail all sit in the commercial class, and your specific activity codes within it determine what you are actually permitted to trade. Customs registration is a separate step we handle alongside it.
Can one license cover both goods and services?
Sometimes. Authorities allow certain activity combinations on a single license and refuse others, and the rules differ between emirates and between free zones. Tell us both halves of what you plan to do at the start, and we will tell you whether it is one license or two.
What happens if I hold the wrong class?
You amend it, which means a formal amendment with the authority and a fee, and in some cases a change of legal form or premises as well. It is recoverable, it is just avoidable. This is the single most common reason people come to us after starting the process alone.
Do free zones use the same class names?
Not always. Free zones issue their own licenses under their own labels, and a zone may call the services class a service license rather than a professional one. The underlying logic is the same: the activity you register determines the class you are issued.
Does the class change what I pay?
Yes, but not in a way anyone can quote from a table. Government charges are set by the licensing authority and move with the class, the activity, the emirate and the premises the class requires. We quote the authority charges and our own fee separately once we know your activity.

Describe What You Sell. We Will Name the Class.

You do not need to arrive knowing the vocabulary. Tell us what you buy, what you make and what you charge for, and we will tell you which class covers it, what the authority will charge and what we will charge, in writing, before you commit to anything.
